Sample Retreat Outcomes (subject to changes based on client needs and TPF recommendations): Analyze data Identify organizational/school strengths and areas of growth Establish “Secret Sauce” for your organization Create and establish priorities (looks like, sounds like, feels like) Identify key goals and metrics for academics & culture Establish/revise clear priorities & action steps in alignment to organizational-wide priorities Establish organization-wide macrostructures Create a High level PD/teacher support plan (roles/responsibilities, one on ones, coaching support) Establish Standard Operating (protocols, systems, routines) Revise/edit organizational handbook/SOPs Revise management structures Establish effective communication channels Timeline for Deliverables: Payment and agreement signed electronically. Once payment is submitted, the TPF team begins to plan and sends any pre-work documents to be received at least 48 hours in advance. Sessions may be delivered virtually, recommended to be an onsite retreat. Service Hours: Total of 18 hours of Organizational Strategy & Management Deliverables: One Customized 1 Day Retreat (to be determined) 12 Service Hours (these hours may include coaching, consulting, one additional retreat day, discovery sessions and a post retreat debrief session). Services established during Kickoff Planning Session with clear outcomes for both the retreat and org-wide strategic plan 1-2 Year Organization-Wide Strategic Plan (Includes academic, culture, org culture) Final programming completed upon agreement & payment signature. RESOURCES The Pavon Leadership Firm Team of Advisors and Coaches/Partners. Total Fee The original value of The Strategic Planning Retreat is $7,500 per day. The total agreed upon fee for your package of 18 service hours is $6,000. Timing The project agreement should be signed no more than three weeks in advance. Joint Accountabilities We will be accountable to each other and approach the work collaboratively. The Pavon Leadership Firm’s Accountabilities Include: Adherence to agreed-on deadlines. Client Accountabilities Include: Access to key individuals on mutually convenient dates Provision of all information having a bearing on project Availability for training Written and video testimonials and referrals to other organizations and potential clients Payment in conformance with the terms below: Our Joint Accountabilities Include: We will alert each other of anything we learn that may materially affect the success of the project (for example, mergers, key people leaving, etc.). We will respect each other’s confidentiality and proprietary materials and approaches. We will achieve reasonable accommodations for conflicts, unforeseen events, and other priorities. Terms and Conditions Fees: The total fee is based on the selection of the service package, up to 6 hours per full day of retreat. 12 Additional hours of service. Payment Terms A payment in the full amount is required to commence work. If applicable, monthly invoices shall be issued on the 15th day and shall be paid in full no later than the last day of the corresponding month, with the first monthly invoice paid by the last business day of the month. Any ancillary products/services, such as CD’s or additional assessments purchased will be invoiced on the 15th of each month, with payment due within 30 days. Electronic payments are permitted through our online payment portal or website. Acceptance Your signature below indicates acceptance of the terms of this proposal indicated by the option or options you have checked below. The terms of this agreement proposal shall remain valid until services are delivered on agreed upon dates. TERM This INITIAL AGREEMENT shall commence on the date of the contract being signed electronically or upon ratification by the Client, unless terminated as hereinafter specified in this AGREEMENT. CONDITIONS In performing services specified in this AGREEMENT, it is understood that: 1. Consultant will be engaged as an Independent Contractor and therefore be solely responsible for the payment of federal and state income taxes applicable to this AGREEMENT. 2. Consultant will not be eligible for any employee benefits whatsoever relative to this contract including, but not limited to Social Security, Worker’s Compensation, unemployment insurance, health or dental insurance, or malpractice insurance, or the like. 3. This contract, and any amendments to this contract, will not be in effect until approved by the Client and Consultants. SERVICES AND RESPONSIBILITIES 1. During the term of this AGREEMENT, Consultant will provide the Client with the services set forth in the attached Schedule of Work and Fees. 2. Consultant shall provide conscientious, competent and diligent services throughout the entire term of this AGREEMENT. 3. Consultant will provide on-site and remote services within the Client. REPRESENTATIONS Consultant represents that its officers, employees and agents are professionals of good character, who are in good professional standing and who possess current and valid licenses, if any, necessary to perform the services under this AGREEMENT. Consultant represents that its officers, employees and agents are not currently charged, nor in the past have been charged with any criminal or professional misconduct or incompetence and that all employees having any contact with students in the Client have been fingerprinted in Georgia, Connecticut or New York prior to performance under this AGREEMENT. COMPENSATION If applicable, the client agrees to pay Consultant the fees indicated on a monthly basis in even payments. INSURANCE Consultant, at his sole expense, shall procure and maintain such policies of comprehensive general liability, malpractice and other insurance as deemed necessary by the consultant. INDEMNIFICATION Consultant and Client shall defend, indemnify and hold harmless one another and their officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs or expenses of any kind, including reasonable attorney’s fees and disbursements, incurred as a result of or arising out of and relating to any acts or omissions of the other party’s officers, directors, employees or agents relating to the services provided pursuant to this AGREEMENT. APPLICABLE LAW - COMPETENT COURTS Validity and performance of this Agreement and all corresponding rights and obligations of the Parties thereto shall be governed by the laws of the State of Georgia. The courts of Georgia, shall have exclusive jurisdiction with regard to disputes arising out of or in connection with this Agreement. DEFAULT AND TERMINATION Either Consultant or Client may terminate this AGREEMENT upon thirty (30) days prior to expiration of a given year contract by written notification to the other party. The parties agree that Consultant’s or Client’s failure to comply with any terms or conditions of this AGREEMENT will be deemed a material breach of contract. SUCCESSORS AND ASSIGNS It is expressly understood that an AGREEMENT shall not be assigned without prior written consent of the other party. ENTIRE AGREEMENT This AGREEMENT is the complete and exclusive statement of the agreement between the parties, and supersedes all prior contemporaneous proposals, oral or written, understandings, representations, conditions or covenants between the parties relating to the subject matter of the AGREEMENT. This AGREEMENT may not be changed orally, but only by an AGREEMENT, in writing, signed by the parties hereto. WHEREFORE, the parties have set their hands and sealed the date of the electronic signature.
